These Terms and Conditions ("Terms") are an agreement between you and [Registered company legal name] ("Bisro", "we", "us") governing your use of the Bisro mobile application (the "App"). Please read them together with our Privacy Policy. By creating an account or using the App, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and capable of entering a binding contract under the Indian Contract Act, 1872 to use the App. The App is intended for business use by shop owners and their staff, not personal consumer use.
2. What Bisro is — and is not
Bisro is a record-keeping and billing tool. It helps you track sales, inventory, and amounts owed to or by your Customers ("ledger" or "khata" entries), with an AI assistant ("Chinni") that helps you enter this information faster by voice, text, or handwriting scan.
Bisro is not:
- A payment processor, payment aggregator, or payment gateway. The App does not move money between you and your Customers. A ledger entry showing an amount "due" is a record you created — not a payment instruction, a guarantee, or a legally enforceable debt instrument created by us.
- A lender, NBFC, or credit-reporting service. Bisro does not extend credit, assess creditworthiness, or report to any credit bureau.
- A substitute for your own statutory bookkeeping, GST, or tax records. You remain solely responsible for the records required of you by applicable Indian law.
3. Your account and responsibilities
- You are responsible for the accuracy of everything you enter, including Customer ledger balances. Chinni's voice and handwriting-scan features assist with data entry but can misread speech, handwriting, or images — you must review every AI-generated entry before relying on it (see §4).
- You are responsible for keeping your password, PIN, and any backup passphrase confidential. Bisro cannot recover a lost backup passphrase — a backup encrypted under a lost passphrase is permanently unrecoverable, by design.
- You represent and warrant that you have all rights and consents necessary under applicable law (including the DPDP Act) to enter a Customer's personal data into the App and to contact them (e.g. a WhatsApp reminder) through it. You agree to indemnify Bisro against any claim arising from your failure to obtain such rights or consents.
- You must not use the App unlawfully, to harass or defraud your Customers, or to circumvent any security control in the App.
4. AI features — accuracy disclaimer
Chinni and the voice/handwriting-scan features rely on third-party AI models (see Privacy Policy §4) and are provided on a best-effort basis. They may misread numbers, names, or amounts. Accuracy varies with input quality: printed or typed invoices read most reliably; neat, clearly-written handwriting reads reliably in most cases; messy or unclear handwriting is substantially more likely to be misread, and item names and prices are typically at greater risk of misreading than the total amount. We do not publish precise accuracy figures for any of these cases, as we have not independently validated them — treat all AI-scanned output as a draft, not a verified record.
Verify every AI-created or AI-suggested entry before relying on it for a financial decision. For handwriting-scan entries specifically, the App requires you to actively confirm, in an on-screen prompt, that you have reviewed the extracted details against the original paper slip before it is posted to a Customer's Khata — confirming that prompt is your acknowledgment that you reviewed the entry. Bisro is not liable for financial loss arising from an AI-generated entry that you confirmed as correct, or from one you did not verify before relying on it.
5. Future features
We may, in future, add features — including additional AI-driven analysis of your own business data for insights or suggestions — beyond what the App does today. We are not offering this today. Any such feature will be described in an updated Privacy Policy before it goes live, and will not retroactively change what we do with data you've already given us without telling you.
6. Fees
The App is currently free to use. We may introduce paid plans or features in future; if we do, pricing will be clearly disclosed before you're charged, and features that are free today will not silently start requiring payment without notice.
7. Suspension and termination
We may suspend or terminate your account if we reasonably believe you've violated these Terms, engaged in fraud or abuse, or if required by law. You may stop using the App and request account deletion at any time (Settings → Delete Account) — see the Privacy Policy for how deletion works.
8. Intellectual property
"Bisro", "Chinni", "Bisro Mitra", their logos, and the App's design and code belong to [Registered company legal name] or its licensors. You may not copy, reverse-engineer, or create derivative works from the App except as permitted by applicable law.
9. Third-party services
The App relies on third-party services (Privacy Policy §4) for specific features. We are not responsible for their availability, accuracy, or acts or omissions, though we select and configure them consistent with our Security Policy.
10. Disclaimer of warranties
The App is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or that the App will be uninterrupted, error-free, or fully secure. Nothing here limits a warranty that cannot lawfully be excluded under Indian law, including the Consumer Protection Act, 2019, where it applies.
11. Limitation of liability
To the maximum extent the law allows, Bisro's total liability arising out of your use of the App will not exceed the amount you paid us in the preceding 12 months, or ₹5,000 if you have paid us nothing. Bisro is not liable for indirect, incidental, or consequential loss — including lost profits, business, or data — arising from device failure, a lost backup passphrase, network interruption, or reliance on an unverified AI-generated entry. Nothing in these Terms excludes liability for fraud, willful misconduct, death or personal injury caused by our negligence, or any liability that cannot be excluded under Indian law.
12. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute will first be raised in good-faith discussion between the parties; failing resolution, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator seated in [City, India], conducted in English. Subject to the above, the courts at [City, India] have exclusive jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. Continuing to use the App after an update means you accept the revised Terms; for material changes, we'll notify you in-app before they take effect.
14. Contact
Questions about these Terms, or to reach us for support: use the App's Settings → Help Center → Report a Bug/Feedback screen, or email legal@bisro.in.
Bracketed placeholders — the registered company legal name and the arbitration/jurisdiction city — are real legal facts this document cannot invent. They must be filled in with accurate details, ideally confirmed by a lawyer, before this document is published.
